1       General

The GURU Online Store Terms of Sale (“Terms”) apply to products (“Order”) ordered through the guruenergy.com or guru.energy websites (“GURU Online Store”). They are completed by and to be read in conjunction with our Terms of Use and Privacy Policy.

By placing an Order from the GURU Online Store, you agree to be bound by these Terms. If you do not agree to these Terms, you must not Order via the GURU Online Store.

The terms “GURU”, “we”, “us”, and “our” used in the Terms refer to, as the case may be, GURU Beverage Inc. for Orders in Canada and GURU Beverage Co. for Orders to the United States, and their respective affiliates, subsidiaries, divisions, successors and assigns and their respective employees, mandataries, and agents (“GURU”, referring to the entity corresponding to your jurisdiction).

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence, and you have given us your consent to allow your minor dependents to use the GURU Online Store.

You can review the most current version of the Terms at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. The version of the Terms at the time of your Order will apply to you and your Order.

2       Account

You can register for an online account by clicking here. If you forget your password, we can send a new password to you through a secure connection to the email you submitted upon registration.

With an account, you will be able to do the following:

  • Proceed through checkout faster when making a purchase
  • Check the status of orders
  • View past orders
  • Create recurring orders
  • Change your account information
  • Change your password
3       Product Availability

We reserve the right to modify or discontinue Products without notice. We are not liable for any modification, price change, suspension or discontinuance of Products made prior to an accepted Order. Our Products may be available in limited quantities and are subject to return, exchange, and refund only according to our Shipping and Returns policy.

We also reserve the right to limit the sales of our Products to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. All descriptions of Products are subject to change at any time without notice, at our sole discretion.

4       Pricing and Taxes

Prices are in Canadian dollars for Orders shipped to Canada and US dollars for Orders shipped to the United States. We reserve the right to modify the Prices of products at any time, without prior notice. Prices of products available on the GURU Online Store may differ from those in stores.

If your Order is subject to any type of use or sales Tax, duty, governmental Tax or deposit fees (“Taxes”), then we may charge you for those Taxes. Depending on the shipping destination, applicable Taxes will be presented at checkout. You are responsible for Taxes due on your Orders.

While we try to ensure that all Prices on our website are accurate, errors may occur.

Not applicable to Québec: If we discover an error in the Price of the merchandise you have ordered, we will give you the option of reconfirming your Order at the correct Price or canceling it. If we are unable to contact you within 48 hours (ex, we will treat the Order as cancelled. Please note that during promotional periods, this process may take longer than 48 hours due to higher order volumes.

5       Orders

Before submitting an Order for the purchase of products, you will be shown an Order confirmation page describing, among other things, the products to be ordered, the purchase Price, and any applicable charges, including shipping and Taxes.

When you submit your Order, the Order will constitute an offer from you to GURU to purchase the products described in the Order confirmation, for the price and subject to the other charges, terms and conditions set out in the Order confirmation.

Orders submitted through the GURU Online store are not binding until accepted by us. Our acceptance of your Order is evidenced by both (i) a return e-mail (customerservice@guruenergy.com) from us indicating that your Order has been accepted and (ii) the actual shipment of products to you.

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per Order. These restrictions may include Orders placed by you or under the same customer account, the same credit card, and/or Orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an Order, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the Order was made. We reserve the right to limit or prohibit Orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors. You agree to provide current, complete, and accurate purchase and account information for all Orders made through the GURU Online Store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your Orders an contact you as needed.

In case there is a discrepancy between the invoice sent by email and the information available on the GURU Online Store, the invoice shall prevail.

6       Cancellations

We strive to keep accurate inventory and fulfil the Orders we receive.

We may, from time to time, limit quantities of products, or refuse or cancel an Order, including after the Order has been submitted, whether or not the Order has been confirmed by us and your credit card charged. If we cancel you Order after your payment was processed, we will issue a full refund.

If you wish to cancel or modify your Order, please send an email as soon as possible to customerservice@guruenergy.com. We will make every effort to accommodate your request. However, once an Order has been submitted, we cannot guarantee it can be cancelled or modified.

7       Recurring Orders

You may create automatic recurring Orders through the subscription function in your user account, which is found under the “Subscriptions” tab (“Recurring Order”). You can at all times edit, pause or cancel a Recurring Order from your account. No need to contact us, you are truly in control.

Recurring Orders are processed according to the chosen frequency and you will receive an email confirming your Order and confirming actual shipment for each Order. We reserve the right to change the Recurring Order benefits, the discount amount and any free delivery offer at any time.

Recurring Orders will ship automatically based on the frequency you select until you cancel. By placing a Recurring Order, you are authorizing us to charge your chosen payment method for future Orders at the frequency you selected.  If your chosen payment method becomes expired, blocked, or otherwise invalid, we will notify you via email to update your payment information. If you fail to update your payment method within a reasonable time, we reserve the right to cancel your subscription without further notice.

Recurring Orders qualify for a discount off each Order and free shipping. We reserve the right to change the Recurring Order benefits, the discount amount, and free delivery offer at any time. We may terminate your Recurring Order at our discretion without notice, at which time we will charge you only for Orders that have been shipped to you.

 

8       Promotions

From time to time, GURU Online Store may offer promotions, including discount codes and automatic discounts, to customers. Promotions may be shared through email, advertisements, or social media platforms and are subject to the following terms:

Discount Codes:

  • Discount codes are generated within Shopify and must be entered at checkout to apply.
  • Each discount code may offer a specific percentage or amount off the total order, depending on the promotion being run.
  • Discount codes may be single-use or reusable and are subject to an expiration date, as specified in the email, advertisement, or promotion terms.

Automatic Discounts:

  • Certain promotions may include automatic discounts, where no discount code is required. The discount will automatically apply at checkout when all promotional conditions are met (e.g., minimum purchase amount, specific product selection, etc.).

Promotion Conditions:

  • All promotional conditions, including eligibility, duration, and specific terms, will be clearly stated in the associated email, advertisement, or promotional materials.
  • Promotions may not be combined with other offers, discounts, or codes unless explicitly stated.
  • GURU reserves the right to modify, cancel, or terminate any promotion at its sole discretion, without prior notice, in the event of suspected abuse or violation of the promotion terms.

Exclusions:

  • Promotions may exclude certain products, categories, or services, as specified in the promotional terms.
  • Discounts do not apply to shipping, taxes, or other fees unless otherwise stated.
  • By participating in any GURU promotion, customers agree to comply with these terms and all other applicable Terms & Conditions.
9       Shipping Policy

The GURU Customer Care team is committed to efficiently processing Orders. Orders placed before 12 PM EST are processed within 24 hours of receipt and shipped as soon as possible in accordance with the delivery time set by third-party carriers. Our operating hours are Monday through Friday from 8:00 AM to 4:00 PM EST. We ship through third-party carriers using their standard shipping methods. You will receive a tracking number(s) via e-mail. Orders with multiple products may be shipped from different locations and may arrive on separate days.

Our warehouse teams and third-party carriers make every effort to pick, pack, ship, and route orders efficiently and in a timely manner. Shipping delays may increase during periods with high order volumes or be voluntarily delayed due to cold weather or natural disasters. Delivery times are estimates only, and GURU shall not be responsible for any damages or costs resulting from delays.

Availability and shipping coverage are verified at the time of purchase. If one or more products is unavailable the Order will not be processed, and you will be prompted to modify your cart. Our carriers cover most US states and territories, as well as most Canadian provinces however, the specific coverage for each State, Province or territory is determined by our carriers. Shipping is performed by a third party, which is responsible for defining coverage, time, and availability. We are not responsible for territories unattended by third-party carriers, nor for any delay or cancellation in the delivery process.

Shipping method shall be defined and determined by the third-party carriers. Free shipping may be applicable due to limited time offers, coupons or similar promotions. We reserve the right to modify shipping fees and terms without notice.

We deliver your Order free of shipping charge with the purchase of products worth $75 or more (before taxes and after all applicable rebates have been deducted). If your Order is under $75, you will be informed of shipping fees at checkout.

Please note that once and order is placed, it cannot be edited. We are unable to update quantities, add or remove items, or modify the shipping addresses. Carefully review your purchase before submitting your order to ensure the accuracy of billing/shipping addresses and ordered quantities.

We carry no responsibility for Orders with missing or invalid shipping address information, wrong item ordered, boxes that are left in apartment building mail rooms, stolen packages, or packages that are otherwise not received after delivery by the carrier. We make every effort to communicate tracking and delivery information to you throughout the order and shipping process.

10   Ownership and risk of loss

Ownership and the risk of loss transfers to you upon our delivery of the products to the carrier.

11   Return, exchange, and refund policy

Our goal is that all our customers are satisfied with their Orders.

Please inspect your Order upon reception and contact us within 7 days of receiving your product if it is damaged, does not meet your expectations or if you received the wrong item. Include pictures of the product, the shipping label, and any other helpful information with your request and send it to customerservice@guruenergy.com, and we will work to make things right.

If we approve a refund, you will be automatically refunded on your original payment method. Please remember it can take some time for your bank or credit card company to process and post the refund.

Due to the nature of our products and to ensure the safety and wellbeing of our customers, returns or exchanges are not accepted for any reason for opened products. Shipping fees are non-refundable.

12   Personal information and privacy

We care about your privacy. We require you to provide us with accurate personal information, such as your email address, mailing address, payment information, and other information to complete your Order or contact you. 13   Security of electronic data transfers

We strive to maintain at all times the highest standards of security. To learn more about how we secure your information, please consult our Privacy Policy. GURU will not be responsible or liable for any errors, delays, or damages caused by  our third-party payment processor.

14   Errors and inaccuracies

Our goal is to provide complete, accurate, and up-to-date information. Unfortunately, it is not possible to ensure that any website is completely free of human or technological errors. The GURU Online Store may contain typographical mistakes, inaccuracies, or omissions, some of which may relate to pricing and availability, and product information.

Not applicable to Québec: We reserve the right to correct any errors, inaccuracies or omissions, including after an Order has been submitted and to change or update information at any time without prior notice.

16   Disclaimer

Please read product descriptions carefully before making an Order or consuming them. Always read the label on the packaging. Our products are not recommended for children, pregnant or nursing women or people sensitive to caffeine. Our products should also not be mixed with alcohol.

17   Limitation of liability

In states and jurisdictions that do not allow the exclusion or the limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law. Other jurisdictions such as Quebec do not allow us to limit our liability, and therefore the above is inapplicable to you if you are a resident of such a jurisdiction.

In no case shall GURU, our directors, officers, employees, affiliates, subsidiaries, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the GURU Online Store, any Orders made using the GURU Online Store or products purchased from us.

18   Governing law

For Orders in Canada: The Terms and any dispute of any sort related to them that might arise between you and us shall be governed by the laws of the Province of Quebec, without reference to its conflict of laws provisions, and the laws of Canada applicable therein, and any disputes will be submitted to the courts of competent jurisdiction of the District of Montreal (Quebec).

To the fullest extent permitted by applicable law, you agree that any dispute resolution will be conducted on an individual basis only, and not as part of any class, consolidated, or representative action. You further waive any right to participate in a class action against GURU Online Store, including in the courts of Quebec.

For Orders in the United States: The Terms and any dispute of any sort related to them that might arise between you and us shall be governed by the laws of Delaware, without reference to its conflict of laws provisions, and the laws of Delaware, applicable therein, and any disputes will be submitted to the courts of competent jurisdiction of Delaware.

 To the fullest extent permitted by applicable law, you agree that any dispute resolution will be conducted on an individual basis only, and not as part of any class, consolidated, or representative action. You further waive any right to participate in a class action against GURU Online Store, including in the courts of Delaware.
